These Terms of Service ("Terms") form a binding agreement between you and HypeVault ("HypeVault," "we," "us") and govern your use of the HypeVault website, dashboard, OBS overlays, APIs, desktop Companion App, and related services (the "Service").
By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement. If you are under 18, you may not create an account, subscribe to any paid tier, make any purchase on the Service, or use the Service in any capacity.
We reserve the right to terminate any account we have reason to believe is held by a person under 18, and to forfeit any associated Loyalty Gem balance and any pending Stripe Connect balance without refund.
You also represent that your use of the Service does not violate any law applicable to you.
2. Accounts
You are responsible for all activity on your account. Keep your password and OAuth tokens secure, and notify us promptly at support@hypevault.io if you suspect unauthorized access. We may suspend or terminate accounts that we reasonably believe are compromised, impersonating others, or operated by banned users.
3. The Service
HypeVault provides tools for streamers and viewers, including:
- Drag-and-drop OBS overlays and widgets.
- Chat-driven mini-games and interactive widgets.
- Marathon / subathon timer with cross-platform event mapping.
- Card packs (Loyalty-Gem-priced random pulls) and a Direct Shop (USD-priced single cards or curated bundles).
- Abilities, jumpscares, and chaos effects that fire on the streamer's overlay or optional desktop Companion App.
- Viewer-to-streamer subscriptions with configurable subscriber perks (Discord roles, custom badges, emotes, Gem-earning bonuses, and similar).
- Streamer social profiles, posts, and follows.
- Gift drops — codes that grant cards or Gems to redeemers, free of charge.
- Loyalty Gems — a free loyalty-points system described in Section 5; not a currency.
- USD payments — tips, card-shop purchases, subscriptions, and the Paid tier — are processed by Stripe; streamer payments route directly to the streamer's Stripe Connect account at the moment of purchase (Section 6).
We may add, change, or remove features at any time. We will give reasonable advance notice for material reductions in core functionality.
Alpha / Beta Features. During alpha or beta phases, certain features may be experimental, unstable, or subject to significant change. Data associated with alpha or beta features may be reset or deleted without notice. Use of alpha or beta features is at your own risk, and we make no guarantees about their continued availability or behavior.
4. Paid Subscriptions
Our Paid tier is billed monthly at the price displayed at checkout. Subscriptions renew automatically until cancelled. You can cancel anytime from Dashboard → Settings → Billing; cancellation takes effect at the end of the current billing period. You retain access to Paid-tier benefits (including the 100% revenue share on tips, card-shop sales, and viewer-to-streamer subscriptions) until the end of that billing period. Subscription fees are non-refundable in accordance with Section 7 (No Refunds).
Payments are processed by Stripe, a licensed payment processor. By completing a purchase, you also agree to Stripe's terms of service. We are not responsible for Stripe's payment processing decisions, errors, or disputes.
We may change subscription pricing or benefits with at least 30 days' notice. If you do not accept a change, you may cancel before it takes effect.
5. Loyalty Gems
5.1 What Loyalty Gems Are
Loyalty Gems ("Gems") are a free loyalty-points system. They are not a currency, not legal tender, not e-money, not a stored-value instrument, and have no real-world monetary value. You cannot purchase Gems for cash, you cannot redeem Gems for cash, and you cannot transfer Gems between users or accounts. Gems do not represent any debt or obligation owed by HypeVault to you.
5.2 Earning Gems
Viewers automatically earn Gems on a streamer's channel by interacting on the streaming platform they have linked to their HypeVault account (for example through chat activity, card plays, or platform-side events). Gem balances are tracked per (streamer, platform identity) pair — Gems earned on one streamer's channel cannot be spent on another streamer's channel. Earning rules, rates, and triggers may change at our discretion.
5.3 Spending Gems
You may spend Gems on a streamer's channel to:
- Buy Gem-priced card packs from the streamer's card collections.
- Trigger Gem-priced effects (abilities, jumpscares, chaos cards) that fire on the streamer's overlay or, where applicable, the streamer's desktop Companion App.
- Other in-channel Gem-priced features we make available from time to time.
Gems spent are deducted immediately and cannot be returned.
5.4 No Cash Value, No Refunds
Because Gems are earned (not purchased) and have no cash value, they are not eligible for refunds. We may revoke Gems we reasonably believe were obtained by fraud, exploit, bot-farming, account stacking, or any violation of these Terms. If your account is terminated for cause, any remaining Gem balance is forfeited.
5.5 Expiration
Unused Gems do not expire while your account remains in good standing. We may sunset Gem balances tied to streamers who have left the Service, with reasonable prior notice.
6. Streamer Earnings & Payouts
6.1 Direct Stripe Connect Funding
HypeVault routes USD streamer earnings through Stripe Connect destination charges. When a viewer tips, buys from your card shop, or subscribes to you, the streamer's share of the transaction is transferred directly to your connected Stripe Express account at the moment the underlying payment settles. There is no internal HypeVault payout queue, no monthly batch, no minimum threshold, and no "request payout" flow.
6.2 Revenue Shares
Tier shares are applied as a Stripe application_fee on each transaction:
- Free tier streamers receive 80% of each transaction. HypeVault retains 20% as the platform application fee.
- Paid tier streamers receive 100% of tips, card-shop sales, and viewer-to-streamer subscriptions. HypeVault retains nothing on those transactions — HypeVault's revenue from paid-tier streamers comes from the platform subscription described in Section 4.
6.3 Processing Fees
Stripe's payment processing fees (approximately 2.9% + $0.30 per successful card charge) are deducted from the platform's share, not the streamer's payout.
6.4 Stripe Connect Requirements
You must complete Stripe Connect Express onboarding before you can receive any USD earnings. Stripe handles KYC, identity verification, tax forms (W-9, W-8BEN, etc.), and bank-account configuration as required by law. You are responsible for reporting and paying any taxes on amounts you receive. If Stripe holds, restricts, or terminates your connected account, your ability to receive payments through HypeVault is impacted by Stripe's decisions — we are not a party to those decisions.
6.5 Tax Responsibility
You are solely responsible for reporting and paying any taxes — including income tax, self-employment tax, VAT, or any other applicable tax — on amounts you receive through the Service. HypeVault does not withhold taxes on your behalf. If required by law, Stripe may issue tax forms (1099, W-8BEN, etc.) directly to you and to tax authorities. Consult a qualified tax professional for advice specific to your situation.
6.6 Payout Schedule (Stripe)
Once funds settle on your Stripe Connect balance, Stripe pays them out to your bank on Stripe's default schedule (typically daily or weekly, configurable from your Stripe Express Dashboard). You can view your balance, transaction history, and payout history at any time from your Stripe Express Dashboard.
6.7 Eligibility
You must be at least 18 years of age to receive payouts.
6.8 Holds, Withholdings, and Reversals
We may withhold, recover, or reverse amounts owed to you to address chargebacks, refunds, suspected fraud, compliance issues, or violations of these Terms. Stripe may similarly hold or reverse funds in your Connect balance per its own policies. If a chargeback or refund causes a negative balance, you remain responsible for it.
7. No Refunds
All purchases on HypeVault are final and non-refundable. This applies to every USD-funded product and feature on the Service, including but not limited to:
- HypeVault Paid-tier subscriptions and any renewal thereof.
- Tips, donations, and other voluntary payments to streamers.
- Card-shop purchases — single cards or curated bundles paid for in USD via Stripe.
- Viewer-to-streamer subscriptions and any renewal thereof.
- Any other USD-funded item or feature we make available on the Service.
Loyalty Gems are not refundable because they are not purchased — see Section 5.
Once a payment is processed or an item is delivered, you are not entitled to a refund, credit, exchange, or partial refund for any reason, including but not limited to: change of mind, dissatisfaction with a streamer's content, a streamer going offline or leaving the platform, a feature you bought being later changed or removed, accidental purchases on your account, or unused balances at the time of account closure.
Chargebacks and payment disputes. Initiating a chargeback or payment dispute against a HypeVault or HypeVault-routed charge that does not qualify under the limited exceptions below is a material breach of these Terms. We may, in addition to disputing the chargeback, suspend or terminate your account, forfeit any remaining Gem balance and any pending Stripe Connect balance attributable to the disputed activity, ban you from future use of the Service, and refer the matter for collection. Stripe may independently reverse the streamer's share of any disputed transaction directly from the streamer's Stripe Connect balance.
Limited statutory exceptions. Nothing in this section affects rights you may have under mandatory consumer-protection laws that cannot be waived by contract. Where such a right applies (for example the EU/UK 14-day right of withdrawal), it applies only before the underlying digital content has been used — meaning, in this Service: before any card from a refunded card-shop purchase has been redeemed, before any subscription period has begun, and before any other delivered item has been used or accessed. Once the digital content has been accessed or used, the statutory right of withdrawal is waived and no refund is due. You expressly consent to immediate delivery of digital content and acknowledge that this waives any applicable cooling-off period upon use.
Discretionary refunds. In rare cases — for example a confirmed platform billing error, a duplicate charge, or an unauthorized transaction we verify — we may at our sole discretion issue a refund or credit. Doing so once does not waive this policy or obligate us to do so again. Refund requests can be sent to support@hypevault.io.
8. Acceptable Use
You agree not to:
- Use the Service to violate any law or the rules of any streaming platform you connect.
- Post, transmit, or stream content that is illegal, defamatory, infringing, hateful, harassing, sexual content involving minors, or otherwise harmful.
- Engage in fraud, money laundering, payment-card abuse, tip-washing, or self-tipping schemes designed to manipulate payouts.
- Bot-farm, multi-account stack, or otherwise exploit Loyalty Gem earn mechanics to accumulate Gems through inauthentic interaction.
- Reverse-engineer, scrape, or load-attack the Service, or bypass rate limits.
- Upload viruses, malicious code, or custom widget code that targets other users or the platform.
- Use the Service to impersonate another person, brand, or affiliation, or to misrepresent a partnership with HypeVault.
- Resell or sublicense the Service without our written permission.
- Allow any person under 18 years of age to access your account or use the Service through your account.
- Monetize sexually explicit, pornographic, or adult content.
- Operate gambling, games of chance, sweepstakes, or contests with cash or material prizes.
- Sell or promote controlled substances, weapons, counterfeit goods, or unlicensed financial products.
We may investigate suspected violations and take action, including warning, suspending, or terminating accounts, reversing transactions, and reporting illegal activity to law enforcement.
9. Your Content
You retain ownership of the content you upload (images, video, audio, posts, widget code). You grant HypeVault a worldwide, non-exclusive, royalty-free license to host, store, copy, transcode, transmit, and display that content as necessary to operate and improve the Service, including making it available to the viewers and other users you direct it to. The license ends when you delete the content or your account, except for residual backups and where retention is required by law.
You represent that you have the rights to all content you upload and that it does not infringe third-party rights.
10. Copyright and DMCA
We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c)(3) to dmca@hypevault.io. We will remove infringing material and may terminate repeat infringers' accounts.
11. Third-Party Platforms
Twitch, YouTube, Kick, Stripe, and other third parties are independent services subject to their own terms. We are not responsible for outages, suspensions, or policy changes by those platforms. Your continued use of the Service confirms that you also accept the terms of any platform you connect.
12. Companion Application
The HypeVault Companion Application (the "Companion App") is optional desktop software available to streamers. By downloading and installing the Companion App you agree to the additional terms in this Section 12, which apply in addition to (and not in place of) the rest of these Terms.
12.1 Keyboard Input Interception
The Companion App uses a low-level Windows keyboard hook (WH_KEYBOARD_LL) to intercept and remap keyboard input when a Keyboard Chaos event is triggered by your viewers. This hook is active only for the duration of a Chaos event and is removed when the event ends, when you trigger the emergency-kill hotkey (Ctrl + Shift + F12), or when the application exits. The Companion App does not log, transmit, store, or record any keystrokes. Input interception is used solely to remap keys for the duration of the chaos effect.
12.2 Overlay Rendering
The Companion App may render full-screen, top-most overlays on your primary display in response to Jumpscare events triggered by your viewers. These overlays are temporary and auto-dismiss after a configurable duration.
12.3 Automatic Updates
The Companion App periodically checks for available updates by requesting a version manifest from HypeVault's servers. When an update is available, you will be notified and given the choice to install. Installing an update will download an installer from HypeVault's DigitalOcean Spaces storage and execute it. You are never updated without your explicit approval.
12.4 Persistent Connection
The Companion App maintains a persistent WebSocket connection to HypeVault's gateway servers while running. This connection is used solely to receive real-time events (Jumpscare, Keyboard Chaos) associated with your streamer account.
12.5 Emergency Controls
You may press Ctrl + Shift + F12 at any time to immediately terminate all active Companion App effects, including keyboard remapping and active overlays. You may also quit the Companion App at any time from the system-tray icon.
12.6 No Background Data Collection
The Companion App does not collect analytics, usage data, crash reports, or any other telemetry. It communicates only with HypeVault's WebSocket gateway using your Companion Token.
13. Suspension and Termination
You may close your account at any time from Dashboard → Settings. We may suspend or terminate your access immediately, with or without notice, if you violate these Terms, if your account creates risk or legal exposure for us, or if required by law. On termination, your right to access the Service ends; provisions that by their nature should survive (including Sections 5, 7, 8, 13, 14, 15, 16, 17, and 18) will survive.
We may also suspend or terminate your account if Stripe suspends or terminates your connected account, or if your activity violates Stripe's Prohibited and Restricted Businesses policies.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL BE SECURE OR NOT LOST OR ALTERED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPEVAULT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE AMOUNT YOU PAID HYPEVAULT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, IN WHICH CASE THEY APPLY ONLY TO THE EXTENT PERMITTED.
16. Indemnification
You will indemnify, defend, and hold harmless HypeVault and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to (i) your content, (ii) your use of the Service, (iii) your violation of these Terms, or (iv) your violation of any law or third-party right.
17. Arbitration and Class Action Waiver
17.1 Binding Arbitration
Except for disputes involving intellectual property or claims eligible for small-claims court, you and HypeVault agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in English, and judgment on the award may be entered in any court of competent jurisdiction.
17.2 Class Action Waiver
You and HypeVault each waive the right to a jury trial and the right to participate in a class action, collective action, or representative proceeding. All claims must be brought in the parties' individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.
17.3 Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@hypevault.io within 30 days of creating your account. If you opt out, Section 18 (Governing Law and Disputes) applies instead.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules. Any disputes arising under these Terms and not subject to arbitration shall be resolved exclusively in the state or federal courts located in Buncombe County, North Carolina, and you consent to the personal jurisdiction of those courts. If you reside in a jurisdiction whose law grants you mandatory consumer-protection rights, nothing in this section deprives you of those rights.
19. Changes to These Terms
We may update these Terms. We will post the new version with a revised "Last updated" date and, for material changes, notify you in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
20. Force Majeure
HypeVault will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, power outages, internet or telecommunications failures, or actions by third-party providers (including Stripe, streaming platforms, or hosting providers). During such events, our obligations are suspended for the duration of the event.
21. Miscellaneous
These Terms (with the Privacy Policy and any other policies referenced in them) are the entire agreement between you and HypeVault and supersede any prior agreements about the Service. If any provision is unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor in interest.
